Dispute Resolution:

The arbitration shall take place in Boise, Idaho, USA, and the decision of the arbitrator shall be final and binding upon the parties.
Termination Clause:
Either party may terminate this agreement at any time with or without cause upon written notice to the other party. Upon termination, all rights and licenses granted hereunder shall immediately cease, and the user must cease all use of the IDSI Chatbot Service. Termination shall not relieve either party of any obligations or liabilities accrued prior to termination.
Intellectual Property Rights:
All intellectual property rights related to the IDSI Chatbot Service, including but not limited to software, algorithms, and content, are and shall remain the exclusive property of IDSI Inc. Users are granted a limited, non-exclusive, non-transferable license to use the chatbot service for its intended purpose in accordance with these terms of service.
Indemnification:
Users agree to indemnify, defend, and hold harmless IDSI Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with the user’s use of the IDSI Chatbot Service or violation of these terms of service.
